Washington City/County Management Association Constitution
An Affiliate of the International City/County Management Association Constitution
ARTICLE 1
Name: The name of this organization shall be the Washington City/County Management Association (WCMA). It shall be considered a Section of the International City/County Management Association (ICMA).
ARTICLE 2
Object: The purpose of this Association shall be to increase the knowledge and efficiency of local government management, to assist the Association of Washington Cities in its programs and activities, to support the functions and aims of ICMA, and to aid in the improvement of municipal administration in the State of Washington.
ARTICLE 3
Officers: The Officers of this Association shall be: a President, a most recent Past President, a Vice President and seven Board Members. All Officers shall be Corporate Members in the State of Washington of at least one year's experience and shall be active members. Their terms shall be as follows: President - one year; Vice President - one year; Board Members - two years. The President and Vice President shall be elected each year. Three two-year Board Members shall be elected each odd numbered year. Each officer shall serve terms as indicated above or until their successors are elected and qualified. Upon an Officer leaving service in local government management, the usual succession to office shall be used to fill the resulting vacancy, provided however that such Officer may remain in office twelve (12) months or until completion of his/her term, whichever occurs first following the date of separation. Any vacancy in an office not filled by the usual succession to offices shall be filled by a majority vote of the Executive Board.
ARTICLE 4
Executive Board: The Executive Board shall consist of ten persons: The President, the Vice President, seven Board Members and the most recent Past President. If, for any reason a Board Member or Officer is unable to serve on the Executive Board the office shall be filled by the Executive Board.
ARTICLE 5
Standing Committees: The President shall appoint, with the approval of the Executive Board, such standing committees as a majority of said Executive Board may deem advisable.
ARTICLE 6
Nominations and Elections:
Section 1. Prior to each annual meeting the Association shall elect the Officers numbered in Article 3. Elections shall be by mail ballot. Any candidate receiving a majority of all votes cast for any office shall be declared elected.
Section 2. Nominations shall be made by a nominating committee of not less than three members appointed by the President. Announcement of members appointed to the nominating committee shall be made to all members of the Association two months in advance of the annual election. The nominating committee is hereby instructed to select candidates to maintain an affirmative action posture and to assure representation of the entire membership.
Section 3. The nominating committee shall provide on the ballot for each elective office a provision for additional nominations.
Section 4. Ballots shall be mailed to all voting members one month prior to the annual meeting.
ARTICLE 7
Membership:
Section 1. The Corporate members of this Association shall be designated as Full members. All other classes of membership shall be designated NonCorporate and shall be known as Associate, Affiliate or Honorary Members. The privilege of voting and holding office is limited to Full Members. Membership and the proper classification shall be approved by the President except that questions regarding eligibility may be referred to the Executive Board.
Section 2. Full Member. Any person who is the administrative head of a municipality or governmental agency with municipal or regional interest, and is appointed by its Mayor or Legislative body. Also included are administrative assistants, assistant city and county managers, assistant administrators, assistant directors of councils of governments and other persons who hold similar positions.
Section 3. Associate Member. Any person pursuing the field of local government administration or with an interest in local government who does not quality under Section 2 (Full Member). Example: Administrative Assistant to the Public Works Director, etc.
Section 4. Honorary Member. Honorary members shall be chosen because of distinguished service to general purpose local government. They shall be proposed by at least five (5) active members and shall be elected only upon a unanimous recommendation of the Executive Board and a majority of the members present at the annual meeting.
Section 5. Life Member. Any person who has been an active member and who has retired may, by majority vote of the Executive Board, be designated as a Life Member.
Section 6. Members in Transition. Any full member of this association who has resigned or has been removed from their position with a municipality may retain their status as a Full Member up to twelve (12) months, provided they continue to pay dues.
ARTICLE 8
EXPULSION OF MEMBERS:
Section 1. On the written request of a Corporate Member setting forth a just cause, a member of this organization may be considered for expulsion. The written request shall be presented to the Executive Board to determine if there appears to be sufficient reason to pursue an investigation. The member accused shall be advised by the Executive Board of the charges made. If the member accused desires, he/she may present a written defense which shall be considered by the Executive Board. The Executive Board shall determine whether the charge is then sufficient to call a meeting of the Corporate Members within 60 days of the Executive Board meeting. After consideration by the Corporate Members, a 2/3 vote of the eligible members at the meeting called for this purpose shall be necessary to expel a member, whereupon the expelled member and ICMA will be notified.
Section 2. On a written request of a Corporate Member setting forth a just cause, and where immediate action is necessary due to the nature of the case, the Executive Board, by unanimous action, may suspend a member pending expulsion action as outlined in Section 1 of Article 8.
ARTICLE 9
DUES: Dues for the Association may be established from time to time by the Executive Board. Any full, Associate or Affiliate Member whose dues are in arrears for a period of six months shall be suspended from membership and notified in writing of such suspension.
ARTICLE 10
AMENDMENTS: This Constitution may be amended or repealed by a majority vote of the Corporate Members of the Association present at a regular meeting, or five Corporate Members of this Association may, by petition to the Secretary-Treasurer, initiate a desired change which shall become effective upon ratification by a majority of the Corporate Members present at any meeting or by a majority of Corporate Members voting thereon by a mail ballot; such mail ballot shall be canvassed by two members of the Executive Board on or after the same is mailed by the Secretary- Treasurer.
ARTICLE 11
ADOPTION: This Constitution shall be in full force and effect from and after its approval by a majority of those present at the first meeting.
Bylaws of Washington City/County Management Association
Section 1: Duties of Officers. The duties of the officers of this Association shall be such as by general usage are indicated by the title of office. The President shall appoint such committees as may be necessary. The Executive Board shall act in the capacity of Directors, and shall supervise and control the affairs of the Association, when the Association meeting is not in session.
Section 2: Secretary-Treasurer. The Secretary-Treasurer shall transact the necessary financial business of the Association, keeping a complete record of all transactions, which shall be submitted for auditing at the annual meeting of the Association. The Secretary-Treasurer shall be appointed by the Executive Board and shall serve at the pleasure of the Board.
Section 3: Meetings. The Association shall hold at least one general meeting each year at the same time and place as the annual meeting of the Association of Washington Cities unless otherwise designed by the Board. Other meetings may be called by the President or by the Executive Board as required.
Section 4: Order of Business. At the annual meeting of the Association the order of business shall be as follows, but such order may be suspended by a majority vote of the members present: (1) Approval of Minutes, (2) Communications, (3) Report of the Secretary-Treasurer, (4) Report of the Executive Board, (5) Reports of Committees, (6) Election of Officers, (7) Unfinished Business, (8) New Business, (9) Adjournment.
Section 5: Voting by Proxy. Voting by proxy shall not be allowed.
Section 6: Fiscal Year. The fiscal year of the Association shall be from January 1 to December 31.
Section 7: Dues. Dues and subscriptions, as determined by the Executive Board, shall be payable on or before July 1 of any fiscal year.
Section 8: Amendment to Bylaws. These Bylaws may be amended by a majority vote of the members present at the annual meeting.
